1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the matrixvexae analytics platform and related services provided by matrixvexae AS ("Company", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.
These Terms constitute a legally binding agreement between you and matrixvexae AS. Your acceptance of these Terms creates a contractual relationship that governs your use of our analytics dashboard services, website, and any related features or functionality.
2. Description of Services
matrixvexae provides cosmetic product sales analytics dashboard services designed specifically for the beauty industry. Our services include but are not limited to:
- Real-time sales tracking and monitoring dashboards
- Customer behaviour analysis and reporting tools
- Inventory management and demand forecasting analytics
- Performance reporting and business intelligence insights
- Custom analytics solutions tailored to client requirements
- Technical support and consultation services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to our clients.
3. User Obligations
As a user of our services, you agree to:
- Provide accurate and complete information when registering for or using our services
- Maintain the confidentiality of your account credentials and be responsible for all activities under your account
- Use our services only for lawful business purposes in compliance with applicable laws and regulations
- Not attempt to gain unauthorised access to our systems or other users' accounts
- Not use our services to transmit harmful, offensive, or illegal content
- Not reverse engineer, decompile, or attempt to extract source code from our software or systems
- Comply with all applicable data protection laws when using our analytics services
- Notify us promptly of any suspected security breaches or unauthorised use of your account
You are responsible for ensuring that your use of our services complies with all applicable laws in your jurisdiction.
4. Intellectual Property
All intellectual property rights in our services, including but not limited to software, algorithms, designs, trademarks, and proprietary analytics methodologies, are owned by matrixvexae AS or our licensors. These Terms do not grant you any ownership rights in our intellectual property.
You are granted a limited, non-exclusive, non-transferable licence to use our services solely for your internal business purposes in accordance with these Terms. This licence does not permit you to:
- Copy, modify, or create derivative works of our software or services
- Sell, rent, lease, or sublicense access to our services
- Use our services to develop competing products or services
- Remove or alter any proprietary notices or labels on our services
You retain ownership of your business data that you input into our systems, while granting us the necessary rights to process and analyse such data to provide our services.
5. Payment Terms
Service fees are as specified in your service agreement or as quoted by our sales team. Payment terms include:
- Monthly subscription fees are due in advance and are non-refundable
- Custom project fees are payable according to the payment schedule in your service agreement
- Late payments may result in service suspension and additional charges
- All fees are exclusive of applicable taxes, which are your responsibility
- We reserve the right to modify our pricing with 30 days' written notice
6. Data Protection and Privacy
We take data protection seriously and process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). By using our services, you acknowledge that you have read and understood our Privacy Policy.
You are responsible for ensuring that any personal data you provide to us is collected and shared in compliance with applicable privacy laws. You warrant that you have the necessary rights and consents to share such data with us for the purposes of providing our services.
7. Limitation of Liability
To the maximum extent permitted by applicable law, matrixvexae AS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or relating to your use of our services.
Our total liability for any claims arising from or relating to these Terms or our services shall not exceed the total amount paid by you to us in the twelve months preceding the event giving rise to the claim.
We do not warrant that our services will be uninterrupted, error-free, or completely secure. While we strive to provide accurate analytics and insights, we cannot guarantee the accuracy or completeness of all data and reports generated by our services.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
8. Indemnification
You agree to indemnify, defend, and hold harmless matrixvexae AS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from:
- Your use of our services in violation of these Terms
- Your violation of any applicable laws or regulations
- Your infringement of any third-party rights
- Any data or content you provide to us that violates these Terms
9. Confidentiality
Both parties acknowledge that they may have access to confidential information of the other party. Each party agrees to:
- Keep confidential information strictly confidential
- Use confidential information solely for the purposes of the business relationship
- Not disclose confidential information to third parties without prior written consent
- Return or destroy confidential information upon termination of the relationship
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Denmark.
If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable consumer protection laws.
11. Termination
Either party may terminate the service agreement with written notice as specified in your service contract. Upon termination:
- Your access to our services will be suspended or terminated
- You remain responsible for all fees incurred prior to termination
- We will provide you with access to export your data for a reasonable period
- Confidentiality obligations will survive termination
- We may delete your data after the retention period specified in our Privacy Policy
We may terminate your access immediately if you breach these Terms or engage in activities that may harm our services or other users.
12. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions. The affected party must promptly notify the other party and use reasonable efforts to mitigate the impact.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
14. Entire Agreement
These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and matrixvexae AS regarding the subject matter herein and supersede all prior agreements and understandings.
15. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through our website. Continued use of our services after such notice constitutes acceptance of the modified Terms. If you do not agree to the modifications, you may terminate your use of our services.
